Our Capital Services
IPO / RTO FACILITATION
What does it include?
- We act as IPO / RTO Facilitator to oversees the planning, preparation, monitoring the progress and liaison with all parties (including Company management and professional team) for the objective of successful IPO / RTO.
- We are competent to facilitate public offering on SGX, Malaysia Bursa, ASX, HKEx and Nasdaq, USA.
- Set up the IPO planning memorandum for the Company.
- Propose corporate and structural planning and restructuring of the Group if required.
- Examine potential legal issues that might be arose from the exercise.
- Review the financial performance and assist on the preparation of FRS complied financial reporting.
- Prepare financial projections for the Company.

MERGER & ACQUISITION

- We may be appointed by the seller or buyer as introducer and arranger acting for and on their behalf in the acquisition project.
- The buyer might be private equity buyout fund, listed companies or strategic buyer who has similar or could integrate the target acquisition into their business profile.
- Finding suitable buyer / seller for business assets for acquisition.
- Prepare business profile and business plan of the target Company.
- Assist in reaching an agreement on the term-sheet for acquisition between buyer and seller.
- Attend and assist in the legal, financial, business and / or environment due diligence check.
- Assist in the negotiation of the final sales and purchase agreement, service agreement and various options agreement when required.
- Hand hold the buyer and seller, or any of their agent throughout the acquisition exercise.
FUNDRAISING

- We act as introducer and arranger for and on behalf of the Company who wishes to fundraise to finance for their business expansion and mezzanine financing.
- Our funder / investor could be a private equity fund, high-net-worth investor, listed company or strategic investor.
- Prepare business profile and business plan of the Company.
- Finding suitable funder / investor for the fundraising.
- Assist in reaching an agreement on the term-sheet between the Company and the funder / investor.
